Modernize Methods LLC Terms and Condition For Sale Of Video and Print download Training Material and Digital Workshops
1. License Grant: a. Modernize Methods LLC grants the purchaser a non-exclusive, non-transferable license to use the purchased video and materials for personal or internal business purposes. b. The license is limited to the individual or entity that purchased the video and materials and may not be shared, resold, or distributed.
2. Restrictions: a. The purchaser may not modify, reproduce, distribute, display, or create derivative works based on the video and materials without explicit permission from Modernize Methods LLC. b. The purchaser may not sublicense, lease, lend, or otherwise transfer the video to any third party.
3. Intellectual Property: a. Modernize Methods LLC retains all intellectual property rights, title, and interest in and to the video, including any modifications or enhancements made by the purchaser.
4. Permitted Uses: a. The video and material may be used solely for design training purposes. b. The purchaser may make copies of the video and materials for backup purposes only.
5. Prohibited Uses: a. The video may not be used for any illegal or unauthorized purpose. b. The purchaser may not use the video in a way that could harm Modernize Methods LLC 's reputation or goodwill.
6. Payment: a. The purchaser agrees to pay the specified amount for the video and materials through the designated payment method. b. Modernize Methods LLC reserves the right to change the pricing and payment terms at any time.
7. Refund Policy: a. All sales are final, and no refunds will be provided unless the video and materials download is defective or fail to meet its intended purpose. If that is the case the purchaser must notify Modernize Methods LLC within 2 hours of purchase, at which time the download or delivery of the purchase will be resolved.
8. Confidentiality: a. The purchaser agrees to keep any proprietary information provided in the video confidential and not disclose it to third parties.
9. Termination: a. Modernize Methods LLC may terminate the license if the purchaser breaches any of the terms and conditions outlined herein.
10. Governing Law: a. This agreement shall be governed by and construed in accordance with the laws of Illinois.
11. Changes to Terms and Conditions: a. Modernize Methods LLC reserves the right to modify these terms and conditions at any time. Purchasers will be notified of any changes.
12. Breach of Contract: a. In the event of a breach of any provision of this agreement by either party, the non-breaching party shall provide written notice to the breaching party specifying the nature of the breach. b. The breaching party shall have a period of 15 days from the receipt of such notice to cure the breach. Failure to cure the breach within the specified period shall constitute a material breach of this agreement. c. In the event of a material breach, the non-breaching party may terminate this agreement immediately by providing written notice to the breaching party.
13. Governing Law and Venue: a. This agreement shall be governed by and construed in accordance with the laws of the State of Illinois. b. Any legal action or proceeding arising out of or relating to this agreement shall be brought in the state or federal courts located within the State of Illinois, and each party consents to the personal jurisdiction of such courts. The party that breaches the agreement shall be responsible for all legal proceedings costs, expenses and attorney fees.
By purchasing the video, the purchaser agrees to abide by these terms and conditions.
