This Service Agreement is for Services is made effective (as mutually agreed and booked), by and between (Client or customer) and MODERNIZE METHODS LLC of 1055 W. Bryn Mawr Ave Suite #F239, Chicago, Illinois 60660 (the "Provider").

 

1. DESCRIPTION OF SERVICES. Beginning on booked appointment and accepted date and time and issued payment. MODERNIZE METHODS LLC will provide to the following services (collectively, the "Services"):

 

Modernize Methods LLC services are the first step to any remodeling project. Our services and visual design layouts encompass a more streamline space upgrade approach, and may utilizing design processes and elements and processes that do not require renovating, remodeling construction, or rebuilding of your space. Instead, we offer a visual space design and layout that may brings new colors, patterns, updated design elements, wall textures, stylish lighting, updated fixtures, room updated layout and other modern or theme appropriate elements to gives your space a whole new look without high costs or lengthy remodeling timelines. It is update to the client to pick the updated elements they would like to be included in the service order. Each service order is defined by service packages as follows: 

 

Standard Package Services - Visual Design Recommendation Services - Per Room $565. 

Here is what you get for your Standard Service Package (per each room)

Our visual design specialists turn your ideas into a "Visionary Design Recommendation and Full-color Rendering Plan." This plan enables and ensures your project is exactly to your liking prior to the actual project start. Before investing in an update, you can see your ideas come to life and ensure the design and updates are what you want.

 

Remote review and consultation - We provide a remote consultation, photo upload of your existing space, where we discuss your directives for your new space updates. Then we search for updated elements that fit your design goals, budget, and where to
purchase them. 
Standard Package Includes - 5 Updated Elements Of Your Choice - Pre Room Design Rendering  – Our Standard Service Package allows for 5 updated elements of your choice pre room and one Visual Design Recommendation Plan, Full Color Design Rendering and a Full color Statement Sheet of all your updated elements and resource links to where to purchase your new elements and materials.  

Standard Package Includes Element Updates - A Standard Service Package includes 5 updates of your choice pre-room. Items such as flooring, paint colors, window treatments, lighting, furniture, and other items may be chosen.

Our process to complete your project after you consultation includes research for the perfect updated elements to fit your design
goals, your budget for your project. We also provide a Statement Sheet with links to where to purchase those updated elements. We finalize your plan by creating a Final Concept Approval Mood Board for review and one-time adjustments. Then we take your visual design service to its final stage and create your personalized Visual Design Recommendations Plan and Full Color Design Rendering. The provided Statement Sheet includes a list of all your updated elements with links to purchase them based on your budget. A valuable resource that can save you time and
money. Our services and one-flat-fee design packages, your design project can ensure success. You can use our visual recommendation plan to give your contractor, service installer, or architect firm with directions on how your project needs to be updated. By using this information, they can make final measurements and recommendations for your remodel project and element purchases

 

Important Service Terms – We offer tremendous value with our set package prices and flat fee services. It is important to plan and take time to determine what you would like to accomplish in your design project, since service prices do not allow for multiple concept revisions. Decide how many elements updates you want to make. Make a list of your project's priorities. When you meet with Modernize Methods LLC, tell them what your goals are. By doing so, you will ensure that your budget is met, and you will achieve the final visual plan you desire. Any additional revisions or updates to elements may be requested at the start of the project. Multiple revisions are not included in our service package flat rate. We will add those additional services and costs if you approve.

 

* Estimated turnaround time – 1 to 2 weeks from final approval of rough plan, however, this schedule may vary depending on the research time needed for your project and the customer’s turnaround of the approvals for updated elements and layout.

Our scope of work - As part of our scope of work, we provide Design Recommendations, color, and element
updates (statement and shopping list) as well as estimates of measurements and layout for your space. During
the ordering and installation process, your service installer or contractor service must determine the final
measurements and position of the layout. Final placement and measurements may depend on factors that are
not available when we complete your final rendering and service limits on our scope of work and design
recommendation.

Concept Approval - Our services packages are flat-rate service fee, per room pricing. The design, research and rendering services and do not include multiple revisions, or adjustments and additional research. Once the final visual design and rendering is completed, there service is completed for that package. Therefore the “Inspirational Layout”, or “Mood Board”, or draft rendering of layout (depending on the service package you ordered) is provided via email or phone and should be reviewed by you carefully and confirmed prior to the final rendering stage. Make sure all your element updates are included on the approval sheet. Please take your time with each “Inspirational Layout” review, remembering that prompt follow-up by you with each “Inspirational Layout”, will help maintain your schedule for your project. We request that you take no more than 1 to 2 days to provide your feedback or sooner, if possible, to stay on schedule.

Other Terms of Services - An itemized list of all updated items that have been selected and approved on the shopping
list. At the time we provide this information, each of these items is available. To order the elements on your
shopping list, you should meet with your contractor, installer, or other remodeling service personnel to
determine your final measurements. The availability of these items cannot be guaranteed, so please secure
them as soon as possible.

 

Design Services Ae Non-Refundable - Because of the nature of these services and the fact that once consultation and design ideas are shared they cannot be returned or pulled back, therefore, all of our services are non-refundable and knowledge that services shared are services provided. See Service Agreement for all terms and conditions of our services.     

Customer's Responsibility to Schedule And Follow Up - Please note follow-up information requests and holding open unresolved project concepts is costly and time consuming, therefore, project concept approvals or information requests left unresolved by customers for more than six months will be considered completed and fulfilled, with no further services or refund required. Your timely follow-up is a required part of the services agreement.

 

Luxury Package - Visual Design Recommendation Services - Per Room - $1595  

Here is what you get for your Luxury Service Package (per each room) 

includes 45 Minute consultation and can be remote or on-site services. We clarify your design directives and your budget for your project. 10 element updates are included in this service package. Additional elements are available for an additional fee. After the consultation we review your design directives and budget, research for our recommendations and updated elements and create a concept design review sheet for your approval. This is based on your budget provided at the outset of the project. This is a flat fee rate service package and the revisions are limited to 3 elements submitted prior to the final rendering during the rough layout process. Make sure at the outset of you consultation you review all your design directives at that time to avoid additional time and cost. “Mood Board” or Rough Draft of layout and design concept will be prepared and reviewed. It is important to take the time to work with your designer at the consultation to ensure you have the updated elements you are looking for are included. Once signed off step has been completed, we will take your Luxury Design to the final stage. We prepare the Visual Design and includes a “Visionary Design Recommendation” and “Full color Rendering Plan,”, a "Statement Sheet" listing all your updated elements with shopping links resources of where to buy all the recommended element updates and materials.

 

* Estimated turnaround time – 2 to 4 weeks from final approval of rough plan per room/order. This may vary depending on the customer preferences and turnaround time of approvals.

Our scope of work includes the design recommendations, layout, research, are estimates of measurements and layout for these updates in your space. The final measurements and position of layout must be determined by your service installer or contractor. Factors that determine the final placement, layout, and measurements may be based on criteria that may not be available to us at the time of ordering. Adjusted because of installation requirements such as electrical outlets, wall studs or other similar considerations. Actual measurements are not part of our scope service.

Affiliated Expert Resources Provided by Modenize Methods LLC - As a courtesy to our customers we may provide expert resources to help complete the project. This information is arbitrarily provided and not part of our service charges. The use of these services are at the total discretion of the customer, as to whether or not they choose to higher the provided resource companies or not. Each resource expert are not part of Modernize Methods LLC company. The customer must make its owner decision, based on the customer's own research and project criteria as to the experts experience and services provided. Modernize Methods LLC makes no representation or guarantees to the seperate companies products or services. 

Visual Design Add-On - Feature Wall (without fireplace) $1595. Residential or Commercial Application-

Feature Wall or Main Design Entertainment Feature Area –$1595 – In additional to the luxury service package or Standard Service package.

Our Luxury Visual Design specialists turn your ideas into a "Visionary Design Recommendation and Full-color Rendering Plan." This plan enables and ensures your project is exactly to your liking prior to the actual project start. Before investing in an update, you can see your ideas come to life and ensure the design and updates are what you want.

Luxury Package Includes 10 Element Updates - A Luxury Design Service Package includes 10 updates of your choice pre-room per project. Items such as flooring, paint colors, window treatments, lighting, cabinets, furniture, and other items may be chosen.

One Hour Consultation - We provide a one-hour consultation, remotely or in person, where we discuss your directives, goals, element updates and existing space. Then we research and search for updated elements that fit your design goals, your budget, and where to purchase those updated elements.  

 

Luxury Package Also Includes – We provide services researching for the perfect updated elements to fit your design goals and your project budget. As part of that research, we provide a Statement Sheet with links to where to purchase your special selected updated elements. A valuable resource that can save you time and money. We finalize your plan by creating a Concept Approval Mood-Board for your review and one-time adjustments.  Then we take your project to its final stage and create your personalized Visual Design Recommendations Plan and Full Color Design Rendering. Our services and flat-fee design packages ensure project success. You can use your visual design recommendation plan to give your contractor, service installer, or architect firm with directions to how your project needs to be updated. By using this information, they can make final measurements, element purchase recommendations.

Visual Design Add-On - Fireplace Feature Wall $1595. 

Fireplace Feature Wall inside or outside $1595 – In additional to the luxury service package or Standard Service package. This an add-on service to our other Packages.

Here is what you get for your Fireplace Feature Wall Service Package includes (per each room) 

Feature Wall fireplaces – inside or outside – $1595.00 This service package is in additional to the luxury service package or Standard Service package. This an add-on service to our other Packages and cannot be ordered separately because of all that is involved .

 

Feature Fireplace Wall for inside or outside installation, Gas or Electric or Wood fireplace. This package must be ordered in addition to your Standard Package or Luxury order and is not available separately because of the details involved. This service will offer you design updates and 10 elements for a complete fireplace feature wall or unit and includes elements of stone or service texture for the fireplace, mantel, Side shelving or cabinets, TV Placement and main fireplace. This service package offers one full design with one rough design layout and one revision (1 element) variations from final rough. It includes a total of 10 updated elements for this service package. This may include such updated element as stone or texture, or title, color pallet, lighting feature, fireplace insert, TV feature, mantel, cabinets, shelving, etc.

1 Hour Consultation - The service includes a 45 minute consultation, gathering your design directives, budget and desired updated elements. Then we research for all your element updates within your budget and put together your rough layout and concept approval sheet.Your concept approval sheet will have all selected updated elements recommended for you, for your approval. At this point this project includes a one-time revision of layout or one element update. If additional updates are needed then additional service fee would apply.After sign-off we take your project to its final stage, finalizing your Visual Design Recommendation Plan and Full Color Rendering, Statement Sheet of all your updated Elements and Shopping Link Resources of where to buy all your updated elements and materials.

Visual Design Element Add - $295 Add- On (each) 

Additional element update order for service that include research  and design, and that are outside the Service Package Quoted Quantity of Element Updates Each Additional Element $295. This service will give you the option to upgrade your number of elements quoted with your package and upgrade to a higher number of element updates. This service add-on can only be added at the time of the ordering and cannot be added in the middle of a project or after the rough draft, because it adjusts all other elements intergraded within the design plan. This service will offers you an additional design element updates (per element) to be added to the elements updates included in the Standard Service Package or the Luxury Service Package. 

We will consult with you as to your design directives on this updated elements. We will then gathering and research your design directives and desired element update and include the additional element on the our concept approval sheet of all selected elements recommended for your approval. The same terms are provided for these element updates as the terms under the service packaged order. 

After sign-off we will provide your final Visual Design Recommendation and Full Color Rendering, with Statement Sheet of all your updated Elements and a Shopping lists with links are to where to buy all your updated elements and materials. This recommendation and rendering will be included your standard or luxury package rendering and is not a separate rendering or recommendation. It is an add-on to one of those packages

2. PAYMENT. The “Client” agrees to pay MODERNIZE METHODS LLC as follows:

All packages services are based on advance payment. 

Non-refundable service - Because of the nature of these services and the fact that once consultations and design ideas are shared they cannot be returned or pulled back, therefore, all of our services are non-refundable and knowledge that services shared are services provided. 

 

Each project is based on a flat service fee and do not include multiple revision or design or other work outside of what is listed in the package description.  Additional services may be ordered and must be ordered in writing and agreeable upon by both buyer or customer and Modernize Methods LLC and will be charged at an per hour rate of $300 an hour. If the projected time quoted, is not sufficient for the project completion or there a project change orders, Modernize Methods LLC will add to the order with a follow up "change order" or additional service quote, with the means to make your advance payment for those additional services and work hours. Work will begin upon a mutually agreed upon schedule, sign agreement and receipt of payment.

 

If any invoice becomes necessary and is not paid when due, interest will be added to and payable on all overdue amounts at 18 percent per year interest charge, compounded monthly, or the maximum percentage allowed under applicable Illinois laws, whichever is less.

 

Advance Payments made on all projects are for services to be rendered as listed within this service agreement worksheet. Any costs or expense related to the project such as paint, wallpaper, installation labor and other related costs for materials and labor is the responsibility of the “Client” to purchase directly and not part of the design or coordinating services and not ordered through Modernize Methods LLC. The cost are additional to any design service fees paid under this agreement. 

 

In addition to any other right or remedy provided by law, if the “Client” fails to pay for the Services in advance as contracted or when due, MODERNIZE METHODS LLC has the option to treat such failure to pay or pull back of payment issues, as a material breach of this Service Agreement, and may cancel this agreement and/or seek legal remedies.

 

3. TERM. This Service Agreement will terminate automatically upon completion by Provider of the Services required by this Service Agreement.

 

4. WORK PRODUCT OWNERSHIP. Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information (collectively the "Work Product") photos, sketches developed in whole or in part by Provider (Modernize Methods LLC) in connection with the Services will be the exclusive property of Provider. The “Client” will use the designs and other “Work Product” exclusively as it is intended and agrees not resale the product, unless agreed to in writing. Upon request, Client will execute all documents necessary to confirm or perfect the exclusive ownership of Provider, MODERNIZE METHODS LLC to the Work Product.

 

5. DEFAULT. The occurrence of any of the following shall constitute a material default under this Service Agreement:

 

 a. The failure to make a required payment when due.

 

 b. The insolvency or bankruptcy of either party.

 

 c.  The subjection of any of either party's property to any levy, seizure, general assignment for the benefit of creditors, application or sale for or by any creditor or government agency.

 

 d. The failure to make available or deliver the Services in the time and manner provided for in this Service Agreement.

 e. Client's failure to return approval of concept proofs or final proofs as after notified, and within 2 or more months upon requests by Modernize Methods LLC. 

 

6. ATTORNEYS' FEES AND COLLECTION COSTS. If there is dispute relating to any provisions in this Contract, the prevailing party is entitled to, and the non-prevailing party shall pay, the costs and expenses incurred by the prevailing party in the dispute, including but not limited to all out-of-pocket costs of collection, court costs, and reasonable attorney fees and expenses.

 

7. REMEDIES. In addition to any and all other rights a party may have available according to law, if a party defaults by failing to substantially perform any provision, term or condition of this Service Agreement (including without limitation the failure to make a monetary payment when due), the other party may terminate the Service Agreement by providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of the default. The party receiving such notice shall have 5 days from the effective date of such notice to cure the default(s). Unless waived in writing by a party providing notice, the failure to cure the default(s) within such time period shall result in the automatic termination of this Service Agreement.

 

8. FORCE MAJEURE. If performance of this Service Agreement or any obligation under this Service Agreement is prevented, restricted, or interfered with by causes beyond either party's reasonable control ("Force Majeure"), and if the party unable to carry out its obligations gives the other party prompt written notice of such event, then the obligations of the party invoking this provision shall be suspended to the extent necessary by such event. The term Force Majeure shall include, without limitation, acts of God, plague, epidemic, pandemic, outbreaks of infectious disease or any other public health crisis, including quarantine or other employee restrictions, fire, explosion, vandalism, storm or other similar occurrence, orders or acts of military or civil authority, or by national emergencies, insurrections, riots, or wars, or strikes, lock-outs, work stoppages or other labor disputes, or supplier failures. The excused party shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased. An act or omission shall be deemed within the reasonable control of a party if committed, omitted, or caused by such party, or its employees, officers, agents, or affiliates.

 

9. DISPUTE RESOLUTION. The parties will attempt to resolve any dispute arising out of or relating to this Agreement through friendly negotiations amongst the parties. If the matter is not resolved by negotiation within 30 days, the parties will resolve the dispute using the below Alternative Dispute Resolution (ADR) procedure.

 

Any controversies or disputes arising out of or relating to this Agreement will be resolved by binding arbitration under the rules of the American Arbitration Association. The arbitrator's award will be final, and judgment may be entered upon it by any court having proper jurisdiction.

 

10. ENTIRE AGREEMENT. This Service Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Service Agreement. This Service Agreement supersedes any prior written or oral agreements between the parties.

 

11. SEVERABILITY. If any provision of this Service Agreement will be held to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable. If a court finds that any provision of this Service Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited.

 

12. AMENDMENT. This Service Agreement may be modified or amended in writing by mutual agreement between the parties, if the writing is signed by the party obligated under the amendment.

 

13. GOVERNING LAW. This Service Agreement shall be construed in accordance with the laws of the State of Illinois.

 

14. NOTICE. Any notice or communication required or permitted under this Service Agreement shall be sufficiently given if delivered in person or by certified mail, return receipt requested, to the address set forth in the opening paragraph or to such other address as one party may have furnished to the other in writing. All work product will be provided digitally by way of email or other forms of digital means. 

 

15. WAIVER OF CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this Service Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Service Agreement.

 

16. ATTORNEY'S FEES TO PREVAILING PARTY. In any action arising hereunder or any separate action pertaining to the validity of this Agreement, the prevailing party shall be awarded reasonable attorney's fees and costs, both in the trial court and on appeal.

 

17. CONSTRUCTION AND INTERPRETATION. The rule requiring construction or interpretation against the drafter is waived. The document shall be deemed as if it were drafted by both parties in a mutual effort.

 

18. ASSIGNMENT. Neither party may assign or transfer this Service Agreement without the prior written consent of the non-assigning party, which approval shall not be unreasonably withheld.

 

IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their duly authorized representatives as of the date first above written.
